Bingshan Refrigeration & Heat Transfer Technologies Co., Ltd.and its wholemembersofBoardofDirectorsensurethatthepublicnoticeisreal,accurateandcomplete,andtherearenoanyimportantomissions,fictitiousstatementsorseriousmisleadingcarriedinthisnotice.
Thedividenddistributionplanforyearof2025underthenameofBingshanRefrigeration&HeatTransferTechnologiesCo.,Ltd.(the“Company”)hasbeendeliberatedandapprovedattheAnnualShareholders"GeneralMeeting2025heldonMay21,2026.IfthetotalcapitalstockoftheCompanychangesbeforetheimplementationofequityallocation,itwillbeimplementedinaccordancewiththeprinciplethatthetotalallocationremainsunchanged.ThetotalsharecapitaloftheCompanyhasnotchangedduringtheperiodfromthedisclosuretothe
implementationofthedividenddistributionplan.ThedividenddistributionplanimplementedisconsistentwiththeplanexaminedandpassedbyShareholders"Generalmeeting.ItisnotmorethantwomonthsfromimplementationdayofthedistributionplantothedaythatShareholders"Generalmeetingexaminedandpassed.Distributionforthedividendforyearof2025isdisclosedas:
I.Dividenddistributionplan
Theequitydistributionschemeforyearof2025underthenameoftheCompanyis:AcashdividendRMB0.5forevery10shareswillbepaidtoalltheshareholdersbasedonthecurrenttotalnumberof843,212,507shares(includingtax;aftertaxisdeducted,RMB0.45forevery10sharesheldbyA-shareQFII,RQFIIandindividualsandsecuritiesinvestmentfundsholdingrestrictedsharesissued forstockreformandnew-restricted shares; for individuals holding other restricted shares andnon-restrictedoutstandingshares,differenttaxrateswillbeappliedonthedividend.AdividendofRMB0.5forevery10shareswillbedistributedfirst.Thetaxawillbedeductedaccordingtotheactualshareholdingperiodandnumberofsharessoldbyinvestoraftertheequityregistrationday;forsecuritiesinvestmentfundsholdingotherrestrictedsharesandnon-restrictedoutstandingshares,fortheHongKonginvestorsholdingfundsharesaccordingto10%tax,differenttaxrateswillbeappliedonthecash dividend distributed to the mainland investors holding fund shares fornon-residententerpriseotherthanQFIIandRQFII,theCompanywillnotwithholdtheincometax.Taxpayersshallpaytaxwhetheritisaccrued;theafter-taxcashdividend for B-share non-resident enterprises is RMB 0.45 for every 10 shares.Differenttaxrateswillbeappliedonthecashdividenddistributedtodomestic(overseas)individualshareholders.AdividendofRMB0.5forevery10shareswillbedistributedfirst.Thetaxwillbedeductedaccordingtotheactualshareholdingperiodandnumberofsharessoldbytheinvestoraftertheequityregistrationday.).【a Note: The shareholding period is calculated based on investors’securitiesaccountsandthefirst-in-first-outprinciple.Thetaxforevery10sharesisRMB0.1forsharesheldforonemonth(onemonthincluded)orless;RMB0.05forsharesheldformorethanonemonthbutnomorethanoneyear(oneyearincluded).Notaxwilldeductedforsharesheldformorethanoneyear.】
middleexchangeratebetweenRMBandHKDreleasedbythePeople’sBankofChina(HKD:RMB=1:0.8726)onthefirstbusinessdayaftertheresolutiondayofGeneralMeeting(thatisMay22,2026),accordingtothediscountratefordividendregulated in Article of Association. The pay back taxes withhold for B-shareshareholdersinthefuturerefertotheaforesaiddiscountrate.
